Terms of Service

These Terms of Service ("Terms") govern your access to and use of Virtual Waitress ("the Service"), operated by NGWANGWA DIGITAL SYSTEMS LTD (RC 9791913) ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms in full. If you do not agree, do not use the Service.
1. The Service
Virtual Waitress is a software-as-a-service (SaaS) platform that provides restaurants, bars, lounges, eateries, and similar food-and-drink venues with digital menus, customer ordering, live waiter alerts, staff management tools, and business analytics — accessible via a web dashboard and QR code at every table.
2. Account Registration
To use the Service, you must create an account with a valid email address. You are responsible for keeping your login credentials secure. You must notify us immediately at support@virtualwaitress.com if you suspect unauthorised access to your account.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business.
3. Free Trial
New accounts receive a 14-day free trial of the Pro plan with full access to all features. No credit card or payment is required to start a trial. At the end of the trial period, access will be restricted until you subscribe to a paid plan.
4. Subscription and Billing
After your trial, continued access requires a paid subscription. Current pricing is displayed at virtualwaitress.com/#pricing. Pricing is subject to change with at least 14 days' notice.
- Subscriptions are billed monthly.
- You may cancel at any time. Access continues until the end of your current billing period.
- No refunds are issued for partial billing periods.
- Failed payments may result in temporary suspension of access.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service for any illegal activity or to facilitate unlawful conduct.
- Attempt to reverse-engineer, copy, or create derivative works of any part of the platform.
- Upload false, misleading, or harmful content to your menu or restaurant profile.
- Use automated tools to scrape, crawl, or harvest data from the platform.
- Interfere with the operation or security of the Service or other users' accounts.
6. Your Content
You retain ownership of all content you upload — menu items, photos, descriptions, and restaurant information. By uploading content, you grant us a non-exclusive licence to store, display, and transmit that content solely as necessary to provide the Service.
You are solely responsible for the accuracy and legality of all content you publish through Virtual Waitress.
7. Customer Order Data
Orders placed by your customers through the menu belong to your restaurant. We store this data to provide you with analytics and order history. We do not share customer order data with third parties, except as required to operate the Service or comply with legal obligations.
8. Service Availability
We aim to provide a reliable service but do not guarantee 100% uptime. The Service is provided "as is" and we may carry out maintenance that temporarily interrupts availability. We will provide reasonable notice for planned downtime.
9. Intellectual Property
All platform code, design, branding, Ada character artwork, and documentation are the property of NGWANGWA DIGITAL SYSTEMS LTD and protected by applicable intellectual property laws. You may not reproduce or distribute any part of the platform without our written permission.
10. Termination
You may close your account at any time by contacting support@virtualwaitress.com. We reserve the right to suspend or terminate your account if you breach these Terms, with or without notice, depending on the severity of the breach.
On termination, your data will be retained for 30 days during which you may request an export, after which it will be permanently deleted.
11. Limitation of Liability
To the fullest extent permitted by law, NGWANGWA DIGITAL SYSTEMS LTD shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service — including but not limited to lost profits, lost revenue, or loss of business data.
Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 30 days preceding the claim.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top and notify active subscribers by email at least 7 days before material changes take effect. Your continued use of the Service after that date constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of Nigerian courts.
